A2P Messaging Terms of Use

These A2P Messaging Terms of Use ("Terms") govern your use of and consent to receive text messages (including SMS and MMS) and other application-to-person ("A2P") communications sent by or on behalf of us through our A2P Compliance Portal (the "Service"). By enrolling in or otherwise consenting to receive A2P messages from us, you agree to these Terms.

If you do not agree to these Terms, please do not enroll in any of our messaging programs and do not provide or verify your mobile phone number for A2P communications.

1. Program Description

We may use A2P messaging to send you account-related alerts, security notifications, verification codes, onboarding assistance, support updates, system notices, service announcements, and other transactional or informational communications related to your use of our products and services. With your express consent, we may also send you promotional or marketing messages, such as product updates, feature announcements, offers, event invitations, and educational content.

2. User Eligibility and Authority

By enrolling in any of our messaging programs, you represent and warrant that: (a) you are at least 18 years old or the age of majority in your jurisdiction; (b) you are the account holder of, or have the necessary permission to use, the mobile phone number you provide; and (c) you have the authority to agree to receive messages on that number and to grant us all rights described in these Terms.

3. Consent to Receive A2P Messages

You agree that by submitting your mobile phone number through our website, application, forms, or other enrollment mechanisms, and by explicitly affirming your choice to receive text messages (for example by checking a box, clicking a button, or replying with a designated keyword), you provide express consent to receive A2P messages from us at the mobile number you provide. Your consent is not a condition of purchasing any goods or services from us unless expressly stated otherwise and permitted by applicable law.

Where required by law or carrier policy, we will send you a confirmation message to verify your enrollment. By responding as instructed (for example, replying "YES" or entering a verification code), you confirm that you wish to receive A2P messages from us at the enrolled number.

4. Message Types and Frequency

Message types may include, but are not limited to:

  • Transactional and service-related messages (e.g., login codes, security alerts, system notifications, account updates).
  • Customer support communications (e.g., responses to your inquiries, troubleshooting guidance, status updates).
  • Operational messages (e.g., scheduled maintenance notices, changes to terms or policies, feature availability).
  • Marketing and promotional messages if you have separately opted in to such communications.

Message frequency will vary based on your interactions with us, the nature of your account activity, and the specific messaging program(s) to which you subscribe. In general, you may receive several messages per month, but you may receive additional messages in connection with security events, verification requests, or support conversations initiated by you.

5. Cost and Carrier Disclaimers

Message and data rates may apply to any messages sent to you from us and to us from you, as specified by your mobile carrier. You are solely responsible for any such charges. We do not charge a separate fee for sending or receiving text messages, but standard carrier rates apply. Check your mobile plan and contact your wireless provider for details about your messaging and data rates.

Supported carriers may include, but are not limited to, AT&T, T-Mobile, Verizon Wireless, Sprint, and other regional providers. Carriers are not liable for delayed or undelivered messages. Delivery of messages is subject to effective transmission from your mobile carrier and network operator and is outside of our control.

6. Opt-Out and Revocation of Consent

You may opt out of receiving A2P messages from us at any time. To stop receiving text messages, reply to any message you receive from us with the single word:

  • "STOP" to cancel all non-essential messaging programs associated with your number; or
  • Follow any additional instructions provided in our messages for program-specific opt-out options, where applicable.

After you send "STOP," we may send you a final confirmation message to confirm that you have been unsubscribed. You will not receive further promotional or marketing text messages from us at that number unless you later re-enroll and provide new consent. Please note that we may still send you messages that are required to fulfill our legal or contractual obligations to you, including certain transactional or security-related communications, where permitted by law.

9. Prohibited Use and User Obligations

You agree that you will not use our A2P messaging channel to transmit, respond with, or solicit the transmission of any content that:

  • Is unlawful, fraudulent, misleading, or deceptive.
  • Contains hate speech, harassment, threats, or promotes violence.
  • Includes sensitive or regulated data (such as full payment card numbers, government identifiers, or protected health information) unless expressly permitted and appropriately safeguarded.
  • Violates any applicable law, regulation, or industry guideline (including carrier rules and CTIA best practices).
  • Infringes the rights of any third party, including privacy, publicity, or intellectual property rights.

You are responsible for keeping your contact information accurate and up to date. If you change or deactivate your mobile number, you agree to promptly update your account information or otherwise notify us to prevent messages from being sent to the person who acquires your old number.

10. Suspension, Modification, and Termination

We reserve the right, in our sole discretion and without prior notice, to suspend, modify, or terminate any messaging program or your ability to receive messages if we believe that you have violated these Terms, if required by carriers or regulators, if technical issues arise, or for any other reason permitted by law. Where required, we will provide notice of material changes to these Terms or to the messaging program itself, which may include a link to updated terms or policies delivered via SMS or other channels.

11. Disclaimers and Limitation of Liability

THE MESSAGING PROGRAM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT MESSAGE DELIVERY WILL BE TIMELY, SECURE, ERROR-FREE, OR FREE FROM UNAUTHORIZED ACCESS OR INTERCEPTION BY THIRD PARTIES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE MESSAGING PROGRAM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE MESSAGING PROGRAM WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNT YOU PAID US SPECIFICALLY FOR THE MESSAGING PROGRAM, IF ANY, WHICHEVER IS GREATER.

12. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to your participation in our messaging program will be governed by and construed in accordance with the laws of the jurisdiction in which our company is organized, without giving effect to any conflict-of-laws rules. Any claims or proceedings arising out of or relating to these Terms will be brought exclusively in the competent courts located in that jurisdiction, unless otherwise required by applicable consumer protection laws. Nothing in these Terms limits any non-waivable rights that you may have under the laws of your jurisdiction.

13. Changes to These Terms

We may update or modify these Terms from time to time to reflect changes in our practices, legal requirements, or messaging program features. When we make material changes, we will update the "Last Updated" date below and may provide additional notice, which may include sending you a text message with a link to the revised Terms. Your continued participation in the messaging program after such changes become effective constitutes your acceptance of the revised Terms.
